E-STATEMENT FILING SYSTEM

The e-Statement Filing System is available Monday-Friday from 6:00 am to 7:30 pm EST, except legal holidays. In order to utilize the e-Statement Filing System for submission of biennial statements you must have your DOS ID number and the current name of the business as it is reflected in the records of the Department of State. The DOS ID number and Business Name can be verified on the Department of State's website at www.dos.ny.gov.

Payment for e-Statement Filing is limited to MasterCard, Visa or American Express.      

Please note that the filing of the biennial statement may not be reflected in the records of the Department for 1 – 3 business days.

DO NOT file a biennial statement prior to the first business day in the calendar month of the filing period. The filing period is the calendar month in which the original document was filed with the Department of State. A biennial statement must be filed every two years.

If you are unable to file online, contact the Statement Unit of the New York Department of State’s Division of Corporations by E-mail or by fax to (518) 486-4680 to obtain a paper biennial statement form. Any request for a paper biennial statement form must include the exact name of the corporation or limited liability company and its date of formation or authorization or its DOS ID number.

A “farm corporation” is exempt from the requirement to file a biennial statement. A "farm corporation" is a domestic business corporation or foreign corporation authorized to do business in this State under the Business Corporation Law engaged in the production of crops, livestock and livestock products on land used in agricultural production, as defined in Section 301 of the Agriculture and Markets Law. If a corporation is a farm corporation, request and complete a paper biennial statement form. No filing fee is required.
